History
Arteria S.A. was established in 2004 in Warsaw and started its operational activity on the market of call center and database services, quickly expanding its offer with direct sales outsourcing services. The dynamic development and ambitious investment plans made the Shareholders decide to allow Arteria S.A. to enter the Warsaw Stock Exchange in Warsaw.

2006
Debut at the Warsaw Stock Exchange in Warsaw
On 12 December 2006 the Management Board of Warsaw Stock Exchange in Warsaw SA passed a resolution granting admission of series A,B,C and the rights to shares series C to the regulated market.
On 15 December 2006 the rights to ordinary bearer shares series C (860.000) were introduced under the standard procedure to the regulated market and were assigned a code PLARTER00024 by the National Depository for Securities SA.
The first public offer of shares met with investors’ great interest. It resulted in the highest in history reduction of subscriptions on the level of 99,8%. Due to means obtained from the issue, the year of 2007 stood out as the time of great dynamic growth and significant investments. The Management Board made a decision to expand the scale of run activities and introduce sales of specialist products and services within the field of telecommunication, internet and digital television. Arteria S.A. started selling the offer of Play mobile network operator, entering the market at that time. Within a few months the Company gained subsequent mandators (platform „n”, Heyah Mix, among others). The result was that Arteria S.A. created a multibrand telecommunication offer, as the only one on the market.
2007
Purchase of 75% of shares in Rigall Distribution Company
The assumption of the development strategy in that period was based on a conviction that fulfilling the goals of the issue and ambitious financial forecasts will be possible through entering new fields of business activity.
2008
Section off of the organized part of the Company
The dynamic growth of the Company demanded severe changes in its current structures and extending them quickly with new reserves.
2008
Purchase of shares in Polymus Advertising Agency
The decision to purchase 89% of shares in the Polymus Advertising Agency Sp. z o.o. enriched Arteria S.A.
Group of Companies with new competence, this time within the scope of marketing communication. The Polymus Agency, acting on the market of advertising and marketing services since 1996, contributed sales support services to the business model of Arteria S.A.
2009
Purchase of 100% of shares in Gallup Polska Sp. z o.o.
On 9 March 2009 Arteria S.A. made the purchase of 100% of shares in Gallup Polska Sp. z o.o., specializing in telephone service of the clients of the biggest companies operating in power and gas engineering industry.
Thus, Arteria S.A. Group of Companies has expanded with a regionally strong call center, holding 140 telemarketing posts.
2009
Takeover of 100% of shares in Trimtab S.A. Group of Companies
On 30 March Arteria S.A. completed a subsequent transaction of assets’ takeover in 2009, this time in the form of acquiring 100% of shares of the Trimtab S.A. Group of Companies.
Current shareholders of Trimtab assumed 854.764 series D shares of Arteria S.A. The new issue was conducted by means of private subscription. Thus, Arteria S.A. Group of Companies expanded firstly, with Trimtab S.A. company, specializing in creating tools for managing complex business processes and secondly, with a subsidiary company of Trimtab S.A., acting under the name of One2One communication Sp. z o.o., providing sales outsourcing services.

2010
Introduction and listing of series D shares
Pursuant to the resolution no.71/2010 of the Warsaw Stock Exchange Management Board of 2nd February 2010, 764 (eight hundred fifty four thousand and seven hundred sixty four) series D ordinary bearer shares of Arteria S.A. of the nominal value of PLN 0.20 (twenty gr.) were admitted to listing.
As a part of the private offer for the current shareholders of Trimtab S.A., the Company issued series D shares which constitute 20% of the share capital of Arteria S.A. The shares were paid by contribution in kind in the form of 100% of shares of Trimtab S.A

2010
Sale of series A bonds
In February 2010, the Management Board of S.A. carried out a private sale of three year bonds. As a result of sale of 100 bonds of the issue value of PLN 50 000 each, the Company obtained the amount of PLN 5 million.
It shall be used for acquisition purposes or investment into the working capital of the Company. The subject of acquisition is increase of the owned shares in the subsidiary companies and acquisition of the new entity, the take-over of which shall improve competences of the Capital Group Arteria S.A. and will enable its further expansion. Acquisition of PLN 5 million secures current needs of Capital Group Arteria S.A. covering financing of further development. The volume of the issue allows for maintaining safe debt level.
