Increase of the initial capital

The Management Board of Arteria S.A., announces that it had received a decision issued by the District Court for the Capital City of Warsaw, XIII Economic Department of the National Court Register, regarding registering alteration of the amount of the initial capital of the company.

 

Pursuant to the decision as of 22 April 2009, the Court decided about the entry of:

- alteration of the amount of the initial capital from PLN 683,811.20 to PLN 845,764.00,

- alteration of the number of shares from all issues, from 3,419,056 to 4,273,820

by registering increase of the initial capital by means of registering 854,764 series D shares.

 

A resolution regarding increase of the initial capital by means of issue of series D shares was passed by the Extraordinary General Meeting of the Company on the day of 17 March 2009. The resolution instituted that the new issue shall be performed in a form of private subscription and it shall be directed to the company operating under the business name of Mayas Basic Concept Ltd, with the registered seat in Nicosia, Ewa Czarzasta-Marzec, Piotr Wojtowski and Sebastian Pielach, that is by present shareholders of Trimtab S.A., in exchange for transfer of ownership rights to 1,500,000 Trimtab S.A. shares, belonging to them.

 

After registering the abovementioned alterations, the initial capital of the company amounts in total to PLN 845,764.00 and is divided into 4,273,820 shares with a nominal value of PLN 0.20 each, including:

a) 2,500,000 ordinary bearer series A shares with numbers from A 0000001 to A 2500000, with a nominal value of PLN 0.20 each,

b) 59,056 ordinary bearer series B shares with numbers from B 0000001 to B 059056, with a nominal value of PLN 0.20 each,

c) 860,000 ordinary bearer series C shares with numbers from C 0000001 to C 860000, with a nominal value of PLN 0.20 each,

d) 854,764 ordinary bearer series D shares with numbers from D 0000001 to D 854764, with a nominal value of PLN 0.20 each.
