Arteria takes over Trimtab

On 1 April 2009 Arteria S.A. informed about the purchase of 1.5 million Trimtab shares. The Company paid with new issue shares. On 17 March the Extraordinary General Meeting of Shareholders of Arteria S.A. decided about issuing 854,764 series D shares. The shareholders of Trimtab were supposed to subscribe for the shares in exchange for the transfer of ownership of 1.5 million shares. The abovementioned event took place.

Aggregate value of assets purchased by Arteria S.A. by means of the abovementioned agreements amounts to PLN 7,299,684.50. The transaction represents the exectution of provisions made by the parties in the Letter of Intent as of 23 December 2008 or agreed by subseqent negotiations on purchasing 100% shares of Trimtab S.A. company by Arteria S.A. in exchange for subscription on the part of the current shareholders of Trimtab S.A.of new issue shares of Arteria S.A. The Company will solict admission of series D shares to trading on Warsaw Stock Exchange in Warsaw S.A
